This Client Agreement (the "Agreement") is made between Vanilla Pixl Ltd ("Vanilla Pixl", "we", "us" or "our") and Ledge & Co Ltd ("the Client", "you" or "your"). By accepting this Agreement, the Client engages Vanilla Pixl to provide the services described below.
Vanilla Pixl will provide the services selected and listed in the Agreed Services section of this Agreement. The specific deliverables, scope and any bespoke requirements are as described in the service summary and any attached schedules.
The Client will pay an initial setup fee of £995 (one-off), and a recurring fee of £495 per month. A reactivation fee of £250 may apply if the service is reactivated after cancellation. A website or service transfer fee of £350 may apply if the Client requests transfer of the website or services to another provider. All fees are exclusive of VAT where applicable. The initial setup fee is due before project work commences. Recurring fees are due in advance on the agreed date each cycle.
The initial term of this Agreement is 12 months, commencing on the proposed start date. After the initial term, the Agreement continues on a rolling basis (matching the payment frequency) until cancelled in accordance with these terms.
The Client agrees to provide accurate information, content and access in a timely manner; to respond to requests promptly; to ensure supplied materials are legally usable; and to make payments when due. Delays in providing materials may affect timelines.
Client-owned materials — including the Client's domain, supplied content, brand assets and supplied imagery — remain the Client's property where applicable. Vanilla Pixl retains rights to its own proprietary systems, processes, templates, components and third-party platform arrangements. On transfer, the Client may receive the website content and assets they own, subject to any transfer fee and third-party terms.
Managed hosting, security updates, performance monitoring and technical maintenance are included for the duration of the Agreement where hosting is selected as a service. Vanilla Pixl monitors uptime, applies platform and security updates, and keeps the website technically healthy.
Either party may cancel by giving 30 days' written notice. Cancellation affects future services but does not automatically create a refund for work already completed or services already delivered. The initial setup fee, once project work has commenced, is non-refundable subject to applicable legal rights.
If the service ends, continued hosting and access cease unless otherwise agreed. A separate migration or transfer service may be available on request, and a transfer fee of £350 may apply. On transfer, the Client may receive the website content and assets they own, subject to any transfer fee and third-party terms.
Each party keeps confidential information confidential. Both parties comply with applicable data protection law (including UK GDPR). The Client is responsible for lawful processing of data collected through the website. Vanilla Pixl processes data only as necessary to provide the service.
Vanilla Pixl applies reasonable technical and organisational measures to protect the website and data. No system is perfectly secure, and the Client should maintain their own backups of content they own. Vanilla Pixl's liability is limited to the fees paid in the preceding 12 months, except where liability cannot be limited by law.
By signing this Agreement, the Client confirms that they have read, understood and agree to be bound by all terms set out herein. This Agreement becomes effective upon countersignature by an authorised representative of Vanilla Pixl.
