Your Vanilla Pixl agreement sets out exactly what we're providing, what is included, how the service works and what happens throughout our partnership.
This Client Agreement (the "Agreement") is made between Vanilla Pixl Ltd ("Vanilla Pixl", "we", "us" or "our") and Example Business Ltd ("the Client", "you" or "your"). By accepting this Agreement, the Client engages Vanilla Pixl to provide the services described below.
Vanilla Pixl will provide a Website & Digital Growth Partnership — an ongoing service combining a premium custom website with hosting, maintenance, content, performance, SEO/AEO, AI integration, analytics and consultancy. The service is designed to support the Client's digital presence continuously over the term, rather than as a one-off project.
The service includes: premium website design and development; managed hosting and technical maintenance; four (4) revisions or updates per month; four (4) SEO content pieces per month; AI chatbot integration; analytics setup and reporting; and one (1) strategy call per month. A detailed example summary is shown separately on this page.
Vanilla Pixl will design and build a custom, responsive website tailored to the Client's brand and goals. The build includes the pages, structure and core functionality agreed during onboarding. The website is provided as part of the ongoing service and is hosted and maintained by Vanilla Pixl throughout the term.
Managed hosting, security updates, performance monitoring and technical maintenance are included for the duration of the Agreement. Vanilla Pixl monitors uptime, applies platform and security updates, and keeps the website technically healthy.
The Client is entitled to four (4) revisions or content updates per month. Requests can be submitted through the agreed channel and are delivered within a reasonable timeframe. Unused revisions do not roll over. Additional work beyond the agreed monthly scope may incur additional charges.
Vanilla Pixl will produce four (4) SEO content pieces per month and work to improve the website's visibility in search and answer-engine results (AEO). SEO and AEO are ongoing, cumulative activities; specific rankings are not guaranteed and depend on many factors outside Vanilla Pixl's control.
Where content creation is included, Vanilla Pixl will produce content aligned with the Client's brand and goals. The Client may also supply content. Client-supplied content should be accurate and legally usable. Vanilla Pixl is not responsible for the accuracy of Client-supplied material.
Where agreed, Vanilla Pixl will integrate an AI chatbot or assistant into the website. AI outputs are generated dynamically and may occasionally be inaccurate. The Client should review automated responses appropriate to their use case, and Vanilla Pixl will configure the integration to suit the business.
Vanilla Pixl will set up analytics and provide reporting on website performance. Analytics are indicative and depend on correct configuration, tracking and third-party platforms. Specific platforms are confirmed during onboarding.
The Client receives one (1) strategy call per month to review performance, priorities and next steps. Additional consultancy beyond the included call may be arranged at an agreed rate.
The Client's domain remains the Client's property where applicable. Third-party services (such as analytics platforms, email providers or payment processors) may carry their own fees and terms, which are the Client's responsibility. Vanilla Pixl can manage configuration on the Client's behalf where agreed.
The Client will pay an initial payment of £995 and a monthly service fee of £495 per month. The initial payment is due before project work commences. Monthly fees are due in advance on the agreed date each month. All fees are exclusive of VAT where applicable.
The initial term of this Agreement is 12 months. After the initial term, the Agreement continues on a rolling monthly basis until cancelled in accordance with these terms.
Either party may cancel by giving 30 days' written notice. Cancellation affects future services but does not automatically create a refund for work already completed or services already delivered. The initial payment, once project work has commenced, is non-refundable subject to applicable legal rights.
Refunds are addressed in our Refund Policy. In summary: initial payments become non-refundable once work has commenced (subject to legal rights); monthly fees cover ongoing service and future services can be cancelled; payments for completed work are not automatically refundable; third-party costs may be non-refundable; and website transfer/migration fees are separate where applicable.
Website access and hosting are provided as part of the ongoing Vanilla Pixl service. If the service ends, continued hosting and access cease unless otherwise agreed. A separate migration or transfer service may be available on request, and a transfer/migration fee may apply.
Client-owned materials — including the Client's domain, supplied content, brand assets and supplied imagery — remain the Client's property where applicable. Vanilla Pixl retains rights to its own proprietary systems, processes, templates, components and third-party platform arrangements. On transfer, the Client may receive the website content and assets they own, subject to any transfer fee and third-party terms.
The Client agrees to provide accurate information, content and access in a timely manner; to respond to requests promptly; to ensure supplied materials are legally usable; and to make payments when due. Delays in providing materials may affect timelines.
Each party keeps confidential information confidential. Vanilla Pixl applies reasonable technical and organisational measures to protect the website and data. No system is perfectly secure, and the Client should maintain their own backups of content they own.
Both parties comply with applicable data protection law (including UK GDPR). The Client is responsible for lawful processing of data collected through the website. Vanilla Pixl processes data only as necessary to provide the service and as set out in any separate data processing terms.
If Vanilla Pixl ceases to provide services entirely, reasonable notice will be given and arrangements made to help the Client continue, including making available the Client's owned content and assets and offering a migration service where possible.
This Agreement is the complete agreement for the service. If any term is found unenforceable, the rest remain in effect. Vanilla Pixl may update terms with notice. This Agreement is governed by the laws of England and Wales.
